  9. IMPORTANT - READ CAREFULLY BEFORE INSTALLING THIS SOFTWARE

  11. This is a legally binding agreement ("Agreement") between you and Folio
  12. Corporation ("Folio") and supersedes any purchase order placed by you.  These
  13. are the only terms and conditions applicable to your rights with respect to the
  14. computer programs and documentation, in computer accessible or paper form,
  15. contained in this package ("Software") and Folio's obligation to you.  If you
  16. do not agree to the terms of this Agreement, return this package to the point
  17. of aquisition for a credit or refund.

  21. DEFINITIONS

  23. When used in the Agreement with initial capital letters, the terms below shall
  24. have the following meaning:

  28.         A. Commercial Distribution
  29.  
  30.         Distribution of an infobase is a Commercial Distribution if Revenue is
  31. derived, either directly or indirectly, from the distribution of the
  32. information contained in the infobase.  A distribution is not considered
  33. commercial if the infobase is distributed primarily to a business entity which
  34. holds distribution rights to the information contained in the infobase.  (I.e.,
  35. If XYZ Corporation makes an infobase of its policy manuals, which is
  36. distributed only within XYZ Corporation, such distribution is not a Commercial
  37. Distribution.)

  41.         B. Revenue
  42.  
  43.         Revenue means any payment or other economic advantage, regardless of
  44. the taxable nature of the advantage, received in exchange for an infobase or
  45. the information contained therein, or any product package containing an
  46. infobase.  Revenue is derived indirectly if an infobase is distributed to
  47. advertise, market, or otherwise promote another product.

  51. LICENSE

  53. The Folio VIEWER Software ("the Software") contained in this package is part of
  54. the Folio VIEWS Software package, and is not available as a separate product. 
  55. Your use of the software is subject to the terms of your Folio VIEWS Software
  56. License Agreement, which is incorporated herein by this reference, and is
  57. effective as if fully set forth herein.

  61. DISTRIBUTION RIGHTS

  63. In addition to the rights granted to you in the Folio VIEWS Software License
  64. Agreement, and subject to the restrictions therein, you are hereby granted a
  65. non-exclusive, royalty free license to distribute the Folio VIEWER Program
  66. Files (listed in the attached Folio VIEWER Program Files List) ("VIEWER Files")
  67. under the following conditions:

  71.         A. Commercial Distribution Prohibited

  73.         You May distribute the VIEWER Files for non-commercial use only.  You
  74. are prohibited from distributing the VIEWER Files in and Commercial
  75. Distribution.  Commercial Distribution of infobases is permitted only under a
  76. separate Commercial Distribution License from Folio Corporation.

  80.         B. Distribution With Infobase

  82.         You may not distribute the VIEWER Files except when they are
  83. distributed together with an infobase for which you hold publication rights.

  87.         C. Enduser License

  89.         The users to whom you distribute the VIEWER Files are permitted to use
  90. those files subject to the enclose VIEWER Enduser License.  You are responsible
  91. for ensuring that your users comply with that license.
